1 Acceptance of Terms
These Terms and Conditions (“Terms”) are a legally binding agreement between you (referred to as “you” or “User”) and VROTEK OÜ (referred to as “Vrotek,” “Company,” “we,” “us,” or “our”). Vrotek is a private limited company registered in the Republic of Estonia, with its registered address at Lõõtsa 2b, 11415 Tallinn, Estonia. By accessing or using the Vrotek website (vrotek.com) or any related applications, services, or tools (collectively, the “Service” or “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. IF YOU DO NOT AGREE with any part of these Terms, DO NOT USE our Site or Services.
By agreeing to these Terms you also represent that you have the legal capacity to enter into a contract. If you are using the Service on behalf of an entity, you affirm that you have authority to bind that entity to these Terms.
We may update or modify these Terms from time to time. We will notify Users of any material changes by updating the “Last Updated” date above and/or via a prominent notice (e.g. on the Site or by email). Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. Please review these Terms periodically to ensure you understand the terms and conditions that apply at that time.
2 Definitions
For purposes of these Terms, the following definitions apply:
- “Service” – The online platform, tools, and services provided by Vrotek that help digital content creators locate and request takedowns of leaked or unauthorised content using scanning tools and DMCA (Digital Millennium Copyright Act) or similar processes across search engines and leak websites. This includes the Vrotek website, user dashboard, and any related software or services offered.
- “User” (or “Customer”) – Any individual or entity that registers for, accesses, or uses the Service, including content creators or their authorised representatives who use Vrotek to protect their content.
- “Content” – Any material or information that a User submits, uploads, or provides to Vrotek through the Service, including but not limited to text, images, videos, documentation, URLs of infringing material, and other data.
- “Unauthorised Content” – Digital content belonging to the User (such as photos, videos, or other media) that has been leaked, copied, or posted without the User’s permission on third‑party websites or platforms.
- “Subscription” – A paid plan or membership that gives a User access to the Service for a defined period (e.g. monthly or annually) and subject to certain usage limits or features.
- “Third‑Party Sites” – External websites or services not owned or controlled by Vrotek, which may include search engines, social‑media platforms, leak sites, or any other websites where unauthorised content might be found or where Vrotek may send takedown requests.
Other capitalised terms may be defined in context. Words in the singular include the plural and vice versa; headings are for convenience only and do not affect interpretation.
3 Our Services
Vrotek provides a digital content‑protection service designed for online content creators (including but not limited to adult content creators, influencers, and YouTubers) to help defend their intellectual property and privacy. Our Service scans various internet sources—such as search‑engine results and known “leak” or piracy websites—to identify unauthorised or leaked copies of the User’s content. When such content is located we assist in initiating takedown requests (e.g. DMCA notices or equivalent requests) to the hosting websites or relevant service providers in an effort to have the infringing content removed.
3.1 Dashboard and Tools
Registered Users gain access to a personal dashboard where they can view results of content scans, see listings of URLs where their content may be illegally shared, and request or review takedown actions. Users may also upload documentation or reference materials (for example, proof of ownership or identity) to facilitate the takedown process. All interactions on our Service are private and specific to each User; we do not publish User content publicly on our Site.
3.2 Scope of Service
Vrotek will make reasonable efforts to detect and assist in removing unauthorised content where possible. This includes preparing and sending notices to site administrators or internet service providers and utilising established legal processes (like the DMCA in applicable jurisdictions) on the User’s behalf. However, Vrotek does not guarantee that every piece of infringing content will be found, nor that every takedown request will result in removal of content. Effectiveness depends on the cooperation of third parties and the legal framework in different jurisdictions.
3.3 No Guarantee of Removal
You understand that results may vary. Vrotek cannot guarantee that its scanning tools will find all instances of your leaked content, nor guarantee that third‑party websites or search engines will comply with or respond to takedown requests in every case.
3.4 Not Legal Representation
Vrotek is not a law firm and does not provide legal advice. Any guidance or templates provided as part of our Service are for informational purposes only and are not a substitute for professional legal advice.
4 Eligibility
The Service is intended for individuals 18 years of age or older. By registering an account or using the Service, you represent and warrant that you meet this requirement. We reserve the right to request proof of age or identity at any stage and to suspend or terminate accounts where this requirement is violated.
5 Account Registration and Security
5.1 Provide Accurate Information
You agree to provide truthful, accurate, current and complete information during registration and to maintain and promptly update your account information.
5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
5.3 Username Policy
We reserve the right to reject or require changes to usernames that impersonate others, violate rights, or are otherwise inappropriate.
5.4 One Account Per User
You should register only one account unless we expressly allow multiple accounts.
6 Fees and Payment
Access to Vrotek’s content‑protection tools requires a paid Subscription except where we offer limited free trials or promotional access. Subscription fees, billing cycles, payment processing, price changes, taxes, and refund rules are detailed below.
- Billing & Recurring Charges: Subscription fees are billed in advance on a recurring basis (monthly or annually) via third‑party payment processors. Your subscription renews automatically unless cancelled.
- Payment Failures: We may suspend or restrict your account if payment cannot be processed.
- Fee Changes: We may change subscription prices with prior notice; continued use after the change constitutes acceptance.
- No Refunds: All payments are non‑refundable except where required by law or expressly stated otherwise.
7 Free Trials and Promotions
From time to time we may offer free trials or promotional accounts subject to their own conditions. Trials may convert to paid plans automatically unless cancelled before the trial ends.
8 Cancellation and Refund Policy
You may cancel your subscription at any time. Cancellation prevents future billing but does not trigger a pro‑rated refund for unused time except where required by law or at our discretion. Details on standard no‑refund policy, exceptions, chargebacks, EU cooling‑off rights, and our right to suspend or terminate accounts are provided.
9 Acceptable Use and Prohibited Activities
You agree to use the Service only for its intended purpose—protecting content that you own or are authorised to manage—and in compliance with all laws. Prohibited activities include but are not limited to:
- Submitting takedown requests for content you do not own or have rights to.
- Reselling the Service or sharing your account without permission.
- Interfering with or hacking the Service, introducing malware, or using automated scraping tools without consent.
- Harassing, threatening, or impersonating others.
- Uploading unlawful content or violating any intellectual‑property or privacy rights.
10 User Content and Intellectual Property
10.1 Ownership of User Content
You retain ownership of content you upload. Vrotek claims no ownership but requires a limited licence to use your content solely to provide the Service.
10.2 Vrotek’s Intellectual Property
All Site content, software and technology are owned by or licensed to Vrotek and are protected by intellectual‑property laws.
10.3 DMCA and Copyright Infringement Policy
We comply with applicable copyright law and may terminate repeat infringers’ accounts.
11 Privacy and Data Protection
Our Privacy Policy explains how we collect, use, store and protect personal data and is incorporated into these Terms. Vrotek adheres to the EU GDPR.
12 Third‑Party Services and Links
The Service may include integrations with or links to third‑party services (e.g. payment processors, analytics, or external websites). Vrotek is not responsible for third‑party content or practices.
13 Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
14 Limitation of Liability
To the fullest extent permitted by law, Vrotek will not be liable for indirect or consequential damages. Our aggregate liability for all claims will not exceed the fees you paid us in the three months preceding the event giving rise to liability.
15 Indemnification
You agree to indemnify and hold harmless Vrotek and its affiliates from any claims, damages, or expenses arising out of your use of the Service, your content, or your breach of these Terms.
16 Term and Termination
These Terms remain in effect until terminated by either you or Vrotek. We may suspend or terminate your account in accordance with the conditions described herein.
17 Modifications to Service or Terms
We may modify or discontinue the Service or revise these Terms at any time. Material changes will be communicated in advance; continued use after changes signifies acceptance.
18 Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Estonia. Disputes will be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless mandatory consumer‑protection laws provide otherwise.
19 Miscellaneous Provisions
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Vrotek.
- Severability: If any provision is held invalid, the remainder remains in effect.
- No Waiver: Failure to enforce any right is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without Vrotek’s consent; Vrotek may assign freely.
- Force Majeure: Vrotek is not liable for delays caused by events beyond its reasonable control.
